Terms of Sale

1. Preamble

These Terms of Sale govern the contractual relationship between RK Development, sole proprietorship represented by VIEY David (hereinafter "the Service Provider"), and any individual or legal entity wishing to benefit from their services (hereinafter "the Client").

2. Purpose

These Terms of Sale define the conditions under which the Service Provider provides their IT development services, including in particular:

  • Web, mobile and desktop application development
  • Website creation
  • Custom solution development
  • Maintenance and technical support
  • Technical consulting and support

3. Quotation and Order

3.1 Quotation

All quotations issued by the Service Provider are free of charge and valid for 30 days from their date of issue. Beyond this period, the Service Provider reserves the right to revise prices.

3.2 Acceptance

An order is considered final after:

  • Signature of the quotation by the Client
  • Receipt of the deposit of 30% of the total amount

4. Pricing and Payment

4.1 Pricing

The applicable prices are those in effect on the date of order. All prices are quoted in euros excluding tax. The Client is responsible for paying VAT if applicable.

4.2 Payment terms

  • Projects < €2000: 30% on order, 70% on delivery
  • Projects ≥ €2000: Staggered payment possible (30% on order, 40% midway, 30% on delivery)
  • Monthly maintenance: Payment in arrears

4.3 Payment methods

Payments can be made by bank transfer, PayPal or any other method agreed between the parties.

4.4 Late payment

In case of late payment, penalties of 3 times the legal interest rate will apply, as well as a flat-rate compensation of €40 for recovery costs.

5. Execution Deadlines

Execution deadlines are indicated for information purposes in the quotation. The Service Provider undertakes to respect these deadlines as best as possible, but cannot be held responsible in case of delay due to:

  • Delay in provision of elements by the Client
  • Changes to specifications during the project
  • Force majeure events

6. Client Obligations

The Client undertakes to:

  • Provide all information and elements necessary for project completion
  • Actively collaborate with the Service Provider
  • Validate deliverables within agreed deadlines
  • Respect payment deadlines
  • Not use deliverables for illegal purposes or purposes contrary to public decency

7. Service Provider Obligations

The Service Provider undertakes to:

  • Perform services in accordance with specifications
  • Respect agreed deadlines
  • Ensure confidentiality of Client information
  • Inform the Client of any difficulties encountered
  • Provide clean, documented and tested code

8. Delivery and Acceptance

8.1 Delivery

Delivery is made electronically (email, file sharing platform, Git repository, etc.).

8.2 Acceptance

The Client has 15 working days to test and validate deliverables. After this period without feedback, deliverables are deemed accepted.

8.3 Modifications

Two phases of minor corrections are included in the initial price. Any substantial modification will be subject to an additional quotation.

9. Intellectual Property

9.1 Transfer of ownership

Intellectual property rights for developments made are transferred to the Client after full payment of the agreed price.

9.2 Reusable elements

The Service Provider retains ownership of libraries, frameworks and generic components developed before or during the project, which may be reused in other projects.

9.3 Portfolio

The Service Provider reserves the right to use deliverables for presentation purposes (portfolio, case studies), unless otherwise specified in writing by the Client.

10. Warranties

10.1 Conformity warranty

The Service Provider warrants that deliverables comply with specifications for 3 months after delivery.

10.2 Bug fixes

Bugs found during the warranty period will be fixed free of charge within a reasonable time.

11. Maintenance and Support

Maintenance and support services are subject to specific contracts, billed monthly or hourly depending on the chosen formula.

12. Confidentiality

The parties undertake to keep confidential all documents and information exchanged as part of their collaboration.

13. Liability

The Service Provider's liability is limited to the total amount invoiced for the project concerned. The Service Provider cannot be held liable for indirect damages.

14. Force Majeure

Neither party can be held responsible for failure to fulfill their obligations in case of force majeure (natural disaster, war, strike, general breakdown, etc.).

15. Termination

15.1 By the Client

The Client may terminate the contract with 15 days' notice. Amounts already paid remain acquired by the Service Provider in proportion to work completed.

15.2 By the Service Provider

The Service Provider may terminate the contract in case of serious breach by the Client (non-payment, failure to provide essential elements, etc.).

16. Applicable Law and Disputes

These Terms of Sale are governed by French law. In case of dispute, the parties undertake to seek an amicable solution before any legal action. Failing this, the competent court will be that of the Service Provider's registered office.
